Payment on an order must be received in full before the product(s) will ship. Credit-worthy companies may complete the Customer Credit Application to delay payment up to thirty (30) days. Credit or Debit cards are normally charged the same day that the order is finalized. Customers paying by check may see a delay because SoundproofCow.com must ensure your check clears before shipment.

Risk of Loss
SoundproofCow.com will arrange shipment of the ordered product(s) to the Customer. Risk of loss passes to the Customer, upon delivery to the carrier. SoundproofCow.com will advise Customer of shipping dates, but under no circumstances, will be responsible for delays in delivery, or associated damages due to events beyond reasonable control, including without limitation, acts of God or public enemy, acts of federal, state or local government, fire, flood, civil disobedience, strikes, lockouts, and freight embargoes.

Cross-Ship
SoundproofCow.com does not cross-ship or perform advance replacements for any return or replacement.

Sales Tax
Sales tax is only applied for orders shipping into Pennsylvania where SoundproofCow.com has nexus for state tax purposes under applicable laws. The sales tax is calculated based upon the total order price, including shipping and handling charges. The tax imposed by Pennsylvania on shipping and handling is part of the state sales tax, not a separate tax.

Duty Tax
For shipments to areas where a duty tax is enforced, Customers are responsible for the cost of the tax. SoundproofCow.com may not receive notice of this charge until after the Customer has been billed. SoundproofCow.com will back bill the Customer for this outstanding charge.

Tax Exempt
Customers who are eligible for tax exemption should file a tax exempt form with SoundproofCow.com. Please contact the customer contact center for assistance in processing your order.

Fair Credit Billing Act
We guarantee that every online transaction you make will be 100% safe. This means you pay nothing if unauthorized charges are made to your card as a result of shopping at our online store. Under the Fair Credit Billing Act, your bank cannot hold you liable for more than $50.00 for fraudulent charges. If your bank does hold you liable for any of this $50.00, we will cover the entire liability for you, up to the full $50.00. We will only cover this liability if the unauthorized use of your credit card resulted through no fault of your own from purchases made while using our secure server. In the event of unauthorized use of your credit card, you must notify your credit card provider in accordance with its reporting rules and procedures.

Change Orders
You may request a change to your order provided the order has not been processed or shipped. Changes need to be made quickly so please call the Customer Contact Center at 1-866-949-9COW. We strongly discourage sending change order requests via email because it is unlikely we will receive the message in time to make an adjustment. If your order has been processed or shipped, please refer to our Return Procedures and Policies.

Cancel Orders
You may request that an order be cancelled provided the order has not been processed or shipped. Cancellations need to be made quickly so please call the customer contact center at 1-866-949-9COW. We strongly discourage sending cancellation requests via email because it is unlikely we will receive the message in time to make an adjustment. A credit for the full amount will be credited to your credit/debit card within 1-2 business days. If your order has been processed or shipped, please refer to our Return Procedures and Policies.

Resellers
SoundproofCow.com does not have a reseller program at this time. We always attempt to provide our customers with the best possible price.

Volume Discounts
SoundproofCow.com can provide volume discounts upon request. Volume discount pricing cannot be determined for online orders. Please inquire with the Customer Contact Center at 1-866-949-9COW for order assistance.

SoundproofCow.com does not guarantee full accuracy on the website due to human error. SoundproofCow.com shall have the right to refuse and/or cancel any order and immediately amend, correct, and/or remove any inaccurate information. Governing Law & Jurisdiction
Any dispute arising out of or relating to these Terms and Conditions or the sales transaction between SoundproofCow.com and the Customer shall be governed by the laws of the state of Pennsylvania, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. SoundproofCow.com and Customer consent to the exclusive jurisdiction and the exclusive venue of the state and/or federal courts located in Franklin County, Pennsylvania, to resolve any dispute between them, related hereto. Both SoundproofCow.com and Customer waive all rights to contest this exclusive jurisdiction and venues of such courts. Finally, the Customer also agrees not to bring any legal theory including contract, tort, equity or otherwise, against SoundproofCow.com , more than one year after the date of the applicable transaction.

Severability
If any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under Pennsylvania law.

Entire Agreement
These Terms and Conditions, together with SoundproofCow.com’s invoice regarding the products order by Customer, are the complete and exclusive agreement between SoundproofCow.com and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between SoundproofCow.com and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.

Return Procedure & Policies


Return Authorization
All returns must be authorized by SoundproofCow.com before a customer can send the order back. Unauthorized returns will not be accepted or refunded, and may be refused when received. To obtain authorization you must request a Return Merchandise Authorization (RMA) number within fifteen (15) days of the receiving date. RMA numbers will not be extended or reissued. SoundproofCow.com must receive the returned products within fifteen (15) days of issuing the RMA number. RMA number(s) must be prominently displayed on all boxes returned. All returns must be authorized within fifteen (15) days after receiving date and returned fifteen (15) days after authorization.

Return Condition
All returned merchandise must be unused and returned in the condition it was originally received, with all original packaging. Returns must be 100% complete, including all components, hardware and/or any accompanying items. Any return that does not include the preceding items will not be refunded and may be refused when received. If any component of the returned product(s) is missing, Return Procedure will be breached and we may in our sole and absolute discretion reject the entire return or choose to impose additional charges against the Customer for replacement of the missing component(s). Any return containing products that appear used, damaged in any way, or with missing components will not be refunded. No returns can be made on custom or special order items. No returns can be made on clearance items, including surplus and damage-discounted items.

Restocking Fee
Upon authorization and receipt, accepted returns are subject to a 25% restocking charge.

Refund
All authorized returns will be fully refunded less restocking fees and shipping and handling charges.

Return Shipment
Customer is solely responsible for shipping any returned product. Customer agrees to use only reputable carriers, capable of providing proof of delivery and insurance, for the entire value of the shipment. Limitation of Liability


In all circumstances, SoundproofCow.com’s maximum liability is limited to the purchase price of the products sold. SoundproofCow.com shall not, under any circumstances, be liable upon a claim or action in contract, tort, indemnity or contribution, or other claims relation to the products it sells which exceeds this liability limit. SoundproofCow.com shall not be liable for third party claims for damages against the Customer, or for malfunction, delays, loss of business, loss or damage to exemplary damages, whether or not SoundproofCow.com has been made aware of the possibility of such claims and damages.

Specifically, SoundproofCow.com shall not be liable for inadequate installation of products directly due to the Customer’s failure to read all installation instructions and guidelines. SoundproofCow.com shall not liable for any associated damages related to the failure of the Customer to follow product installation guidelines. In doubt, Customer should be advised to consult with our Customer Contact Center before beginning installation to ensure Customer fully understands installation procedures.

SoundproofCow.com’s products have specific acoustic and/or thermal properties intended to improve specific and corresponding locations and acoustical issues. SoundproofCow.com shall not be liable for improper use of products. In doubt, Customer should be advised to consult with our Customer Contact Center before purchasing products, to ensure Customer is ordering the correct product specific to their acoustic issue.

SoundproofCow.com shall not be liable for failure to meet federal, state, and/or local noise, fire and building codes. It is the sole responsibility of the Customer to be aware of these guidelines and purchase products accordingly. SoundproofCow.com shall not be liable for any associated damages related to the failure of the Customer to adhere to aforementioned guidelines.

SoundproofCow.com shall not be liable for claims for damages related to improper installation and use of polyurethane foam products. All polyurethane buyers have been made aware of the following warning:

FLAMMABILITY WARNING: All polyurethane foams, including combustion-modified foams, will burn. Do not expose to any flame source. Once ignited, they can produce rapid flame spread, intense heat, dense smoke and toxic gases, causing severe injury or death. Warnings should be given to your employees and customers. Test data does not necessarily reflect the foam’s performance under actual fire conditions. Before purchasing any foam, be sure to check with your local code officials to confirm the required flammability rating of exposed materials for your area.

Acoustic Results
SoundproofCow.com does not guarantee typical acoustic results for all customers due to customer-specific acoustic conditions. Performance of a product in the field, coinciding with unpredictable customer-specific issues, may not have the same acoustic result as product performance in a laboratory. Unpredictable customer-specific issues include but are not limited to building construction, current wall, ceiling or floor construction, uncontrolled noise from neighboring units, uncontrolled noise from outside, improper installation of Customer product, or improper use of Customer product.

SoundproofCow.com does not guarantee test results performed under laboratory conditions will yield the same result under field conditions. These tests include Sound Transmission Class, Impact Insulation Class and Noise Reduction Coefficient. Additionally, polyurethane foam test data does not necessarily reflect the performance of the foam under actual fire conditions. See Flammability Warning in the liability section of the Terms and Conditions.

Manufacturer’s Warranties
SoundproofCow.com’s products are not under any warranty unless expressly printed on an item, its packaging, or otherwise contained in the product shipment. For warranty questions and issues, contact us at 1-866-949-9COW.
